which were in-force till then. The Regulations have significant implications for companies issuing any
Equity based instrument to its employees. SEBI has now recognized the concept of Stock Appreciation
Rights (SAR) and also seeks to regulate every General Employee Benefit Scheme and Retirement Benefit
Scheme which directly or indirectly uses Equity shares of the company.

shares, Trust set-up and management.
