ED provides outsourcing support for specific ESOP processes or activities under this model. Various offerings under Partial Outsourcing Model are detailed as under:

Partial Outsourcing Model

  Specific ESOP processes can be managed under Partial Outsourcing Model

ED undertakes responsibility of specific ESOP processes (e.g.- Grant, Exercise, etc). ED will perform activities required for the completion of the processes as agreed with the client.

  ED provides update and Maintenance of ESOP Data from time to time

  ED will undertake the following activities under this:
- Upload of New grant data
- Validation and upload of exercise details
- Upload of separations data
- Regular back up of data from time to time
  Reports for Client representative and Option holders on email
ED will make available reports for the client representatives and option holders as defined below:
Management reports:
  - Grant consolidated report
- Grant summary report
- Lapse report
- Cancellation report
- Employee Transaction report
- Individual options summary report
Employee reports:
  - Activity status report
- Exercise report
  Help desk for Option holders
ED will open an email account for the client, to which all the option holders of the Client can address their queries relating to the ESOP Schemes. ED shall answer these queries normally within 24 hours of receipt of such query. Employees can also post queries on-line through their personal ESOP account.

Methodology

ED would understand the features of the existing ESOP Schemes of the Client and the current system of maintaining the ESOP related data. ED would also assess the volume of data and complexity of the Schemes / grants. This understanding would be achieved through interaction with the Client’s representatives.
Process manual:
ED would interact with the Client’s management to understand their expectations and requirements from the ESOP Management. Each function will be detailed out in terms of:
            - Documentation and documentation templates
            - Methodology
            - Defining responsibilities for various processes for completing milestones
            - Response times
ED will prepare Process Manual that will form part of the set up process.
Data Audit:
ED will carry out a detailed audit of the current ESOP data and the existing documentation maintained. This will include Scheme-wise / grant-wise analysis of options granted and tallying the same with every employee’s individual records.
Data Upload:
The data acquired from the client will be uploaded on proprietary software application- and after being tested thoroughly, will be made accessible to the client’s management as well as all the option holders.
Data Hosting:
The data will be hosted on a dedicated server owned by ESOP Direct and made available through Internet to the option holders.
Customization to proprietary software:
In addition to the above, if any additional reports or other deviation from the standard software is required, then ED will assess the extent to which the software would need to be customized and provide the additional cost estimate for the same to the Client.
