What do we do in
Plan Management- Complete Outsourcing model?
ESOP Direct takes care of end-to-end responsibility
for Plan Management under this model. Various services provided
and activities performed are mentioned as under: |
Registration
of historical data and update of records from time to time:

ED performs registration
of information in the proprietary software and timely updates. |
|
Registration of existing Schemes,
grants made in the past and option holders: |

ED will collect all data pertaining
to existing schemes, grants made in the past, and option holders.
The data is registered in the software for ESOP Management purposes. |
|
Registration of new grants: |
| |
Updating records for new grants
based upon the information provided to ED by the Client in the prescribed
formats. |
|
Separation of option holders: |
| |
ED would update the records of
option holders based upon the information made available by the
client about the separation of option holders (resignation, retirement,
death, termination, disability), at a frequency mutually decided. |
Verification
of information during Exercise of options: |
Verification of the
details relating to the exercise of options such as vetting of the
exercise application, validating the entitlement of the option holder,
checking the payment details, etc. to ensure that the exercise process
is in order. |
Management
and employee reports: |
| ED will make available reports for the
management and option holders as defined below: |

Help
desk: |
ED will open a client
specific email account, to which all the option holders of the Client
can address their queries relating to the ESOP Schemes. ED shall
answer these queries normally within 24 hours of receipt of such
query. Employees can also post queries on-line through their personal
ESOP account. |
Online
Access for Client representatives and option holders |
| ED will provide online access to client
representatives and option holders through separate login and passwords.
The data will be hosted by ED and made available to the clients.
Following information will be made available online:

- Comprehensive reports for option holders and client
representatives
- ESOP Summary for Option Holders
- Value of options as on date for option holders
- Online exercise of options for option holders (which is followed
up by off-line activities for filling up exercise forms, issue of
cheques, etc)

Onsite
presence of ED personnel: |
Our web-based proprietary
software is used for managing ESOPs, which automates most of the
functions like grant entries, exercise validations, reports, etc.
There are some offline functions like validation of exercise forms
and cheques on exercise. These functions by nature cannot be automated
or handled electronically.
ED will handle the following functions by deploying its personnel
at the corporate office for required duration: |

Exercise Validations will include validation
of the following: |
| |
- Eligibility of option holder for exercise of options
- Verification of the total amount payable by option holder and the
cheque received
- Verification of Demat details mentioned in the exercise form with
Demat proof submitted by option holder
- Preparation of pay-in slips for cheque deposit
- ED will perform email-based follow-ups with employees wherever required. |
Benefits
for the Client |

Limited Involvement in the ESOP Management
Process |

The involvement of the Client will be limited to providing
the following information: |

- Timely information about the grants made to employees
- Timely information about the separation of Employees
- Timely intimation of any changes in the ESOP Scheme |

Responsibility for ESOP Management undertaken
by a specialist firm |
|
|
ED would understand
the features of the existing ESOP Schemes of the Client and the
current system of maintaining the ESOP related data. ED would also
assess the volume of data and complexity of the Schemes / grants.
This understanding would be achieved through interaction with Client’s
representatives. |
| Process manual: |
ED would interact
with the Client’s management to understand their expectations
and requirements from the ESOP Management. Each function will be
detailed out in terms of:
- Documentation
and documentation templates
- Methodology
- Defining
responsibilities for various processes for completing milestones
- Response
times
ED will prepare Process Manual that will form part of the set up
process. |
| Data Audit: |
ED will carry out
a detailed audit of the current ESOP data and the existing documentation
maintained. This will include Scheme-wise / grant-wise analysis
of options granted and tallying the same with every employee’s
individual records. |
| Data Upload: |
The data acquired
from the Client will be uploaded on proprietary software application-
ESOP Manager™ and after being tested thoroughly, will be made
accessible to the Client’s management as well as all the option
holders. |
| Data Hosting: |
The data will be
hosted on a dedicated server owned by ESOP Direct and made available
through Internet to the option holders. |
| Customization to the proprietary
software (ESOP Manager™ ): |
If any additional
reports or other deviation from the standard software is required,
then ED will assess the extent to which the software would need
to be customized and provide the additional cost estimate for the
same to the Client.
